1. Scope
1.1. Guru Cashflow Management GmbH provides software tools and services for creating and adapting mobile apps based on existing websites.
1.2. These terms of use are the exclusive basis for the use of the App design by Guru Cashflow Management GmbH. The user's other conditions only apply if Guru Cashflow Management GmbH has expressly approved it.
1.3. Individually made agreements between Guru Cashflow Management GmbH and the user have priority over the present terms of use.
2. Power description
2.1. Users have the option of receiving Mobile Apps with the service of Guru Cashflow Management GmbH, which are ordered to pay a continuous subscription.
2.2. Individual adjustments to the app created are not part of the standard range of services. However, such adjustments can be carried out on request and at the discretion of Guru Cashflow Management GmbH.
2.3. The submission of the apps in online stores such as the Apple App Store and Google Play is carried out by Guru Cashflow Management GmbH. If the app is rejected, there is no right to reimbursement of fees. However, Guru Cashflow Management GmbH offers supportive advice if the user needs it.
3. Contract conclusion and right of withdrawal
3.1. A contract is concluded when the user issues an order and Guru Cashflow Management GmbH confirms it.
3.2. The ordering of the user requires the complete and truthful specification of all requested information. By payment, the user confirms the liability of the order.
3.3. Guru Cashflow Management GmbH reserves the right to reject orders if the user's website is unsuitable for the creation process or is suspected of illegal content.
4. Functionality of the software
4.1. Guru Cashflow Management GmbH's service enables the automatic conversion of an existing website to a mobile app, provided certain technical requirements are met. Other optional functions, such as password protection, can be added.
4.2. When the app starts, a connection to the servers of Guru Cashflow Management GmbH is established and the app can receive push messages. Without this connection, restricted functions and outdated settings are possible.
4.3. The content of the website can be used directly in the app via an integrated browser.
4.4. The user is responsible for checking the functionality of the app. Unforeseen functions or errors can be reported to support. However, Guru Cashflow Management GmbH is not obliged to make adjustments.
4.5. The number of users who can use the app is limited depending on the tariff.
5. Prices and payment modalities
5.1. The prices listed on the Guru Cashflow Management GmbH website. These include the statutory sales tax, whereby customers abroad can be exempt from it.
5.2. Apps can be purchased through a subscription. The scope of the services it contains varies depending on the tariff selected.
5.3. A change between subscriptions is possible, but remuneration already paid is not counted towards the original payment as part of the subscription.
5.4. When a subscription is terminated, access to the app is deactivated and further use is not permitted.
5.5. The price of the app covers the server costs, but no special services such as the development of specific functions that can be ordered separately.
5.6. The app is provided after receipt of payment.
6. Updates and adjustments
6.1. Guru Cashflow Management GmbH can update the software if necessary to react to changed requirements. Certain updates can be chargeable, unless otherwise specified in the contract.
6.2. Adjustments and settings that do not require a software update can be carried out free of charge by the user at any time.
6.3. Guru Cashflow Management GmbH is not obliged to adapt the software to changed operating system requirements or guidelines of the app stores.
7. Copyright and license use
7.1. The user receives the app in a usable but non-changeable form for publication in the corresponding app stores. There is no entitlement to the source code.
7.2. The customer is used as part of the contractually agreed license rights. The user must ensure that the necessary usage rights are available for all content in the app.
8. Warranty and customer support
8.1. The user can use the legal warranty rights for defects that occur when creating the app and are not due to the user's website.
8.2. Later changes to the website that impair the functioning of the app do not lead to a warranty claim.
9. Liability limitation
9.1. As far as legally permitted, Guru Cashflow Management GmbH liability is limited to the amount paid by the user.
9.2. Guru Cashflow Management GmbH is not liable for indirect damage such as lost profit or data loss.
10. Final provisions
10.1. The law of the Republic of Austria applies to these terms of use.
10.2. The place of jurisdiction is Guru Cashflow Management GmbH.
Minimum binding time
The contract is concluded indefinitely. The minimum term is 12 months. Ordinary termination is excluded during the minimum term. After the end of the minimum term, the contract can be terminated from both sides in compliance with a three -month notice period at the end of a quarter.
Special variant: annual payment is reduced and contractually determined by an annual automatically running minimum binding time. The contract can be terminated from both sides in compliance with a three -month notice period at the end of a contract year.
Extraordinary termination is possible at any time for an important reason. Such an important reason is, particularly in the event of a serious violation of the contractual obligations.
